Coöperatie FrieslandCampina wants to reduce the central board from 9 to 8 members and limit the number of supervisory directors from 13 to 9 members. This is done at the suggestion of chairman Sybren Attema. By the end of the year, two new farm managers and two new outsiders are also needed.
The aim of the adjustments is to further strengthen the effectiveness of the cooperative board and the supervisory board, or so it is said. The approach is that a majority of five farmer commissioners will remain on the supervisory board, supplemented by four external members. Of the five farmer commissioners, at least three are also members of the cooperative board.
End of personal union of directors and commissioners
According to the proposals, this will create more room to attract supervisory directors with specific knowledge and skills and thus strengthen supervision of the company. If these proposals are approved later this year, the complete personal union between the members of the cooperative board and the members of the supervisory board, as it currently exists, will be abandoned.
Looking for two new farmer managers and two external staff
Almost at the same time as these proposed changes, some personnel changes will also occur. Both Angelique Huijben-Pijnenburg and Sandra Addink-Berendsen will see their terms on the board expire at the end of this year. Two new cooperative directors are being sought for them. Two new external commissioners will also be sought to take the place of René Hooft Graafland and the previously departed Wout Dekker.
